INSTRUMENT OF ESTABLISHMENT
Digital Banking and Institutional System (DBIS)
PREAMBLE
WHEREAS the establishment of a sovereign institutional framework for digital banking and financial services requires formal legal instruments;
WHEREAS the founding members have agreed to establish the Digital Banking and Institutional System (DBIS) as a sovereign institutional entity;
WHEREAS the Constitutional Charter of DBIS has been adopted and signed;
NOW, THEREFORE, the undersigned founding members hereby execute this Instrument of Establishment.
ARTICLE I: EXECUTION OF ESTABLISHMENT
Section 1.1: Formal Establishment
By execution of this Instrument, the Digital Banking and Institutional System (DBIS) is formally established as a sovereign institutional entity with all rights, powers, and capacities set forth in the Constitutional Charter.
Section 1.2: Legal Effect
This Instrument, together with the Constitutional Charter and Articles of Governance, constitutes the complete legal foundation for DBIS and shall have full legal effect under international law and the laws of all jurisdictions.
Section 1.3: Perpetual Existence
DBIS is established with perpetual succession and shall continue in existence unless dissolved in accordance with procedures established in its governing documents.
ARTICLE II: FOUNDING MEMBERS
Section 2.1: Signatory Parties
The following entities, having signed the Constitutional Charter, are hereby recognized as founding members of DBIS:

Section 2.2: Membership Status
Each founding member:
- Acknowledges acceptance of the Constitutional Charter
- Agrees to be bound by the Articles of Governance

- Executive Directorate with initial appointments
- Institutional Tribunal with initial appointments
- Administrative and operational departments
Section 3.2: Initial Assets
DBIS shall receive and hold:
- Initial capital contributions from founding members
- Initial reserve assets as specified
- Intellectual property and institutional assets
- Other assets as transferred or acquired
Section 3.3: Initial Operations
DBIS shall commence operations upon:
- Completion of initial organizational procedures
- Establishment of operational infrastructure
- Activation of financial and technical systems
- Appointment of key personnel
ARTICLE IV: LEGAL RECOGNITION
Section 4.1: International Recognition
This Instrument serves as formal notice to all states, international organizations, and entities that DBIS has been established as a sovereign institutional entity with:
- Full legal personality
- Sovereign immunity
- Treaty-making capacity
- Diplomatic capacity
Section 4.2: Domestic Recognition
Each founding member agrees to:
- Recognize DBIS as a sovereign institutional entity
- Extend appropriate immunities and privileges
- Facilitate DBIS operations within their jurisdiction
- Provide necessary legal and administrative support
Section 4.3: Third-Party Recognition
This Instrument may be presented to third parties as evidence of:
- DBIS legal existence and status
- Authority of DBIS representatives
- Validity of DBIS instruments and documents
- Institutional capacity and powers
ARTICLE V: OPERATIONAL COMMENCEMENT
Section 5.1: Effective Date
This Instrument shall become effective upon:
- Signature by all founding members
- Completion of initial organizational procedures
- Activation of core systems and infrastructure
- Publication of this Instrument
Section 5.2: Commencement of Operations
DBIS shall commence full operations upon:
- Establishment of governance bodies
- Activation of financial systems
- Implementation of security protocols
- Completion of initial setup procedures
Section 5.3: Transition Period
A transition period may be established during which:
- Initial procedures are finalized
- Systems are tested and validated
- Personnel are appointed and trained
- Operations are gradually expanded
ARTICLE VI: INSTITUTIONAL ASSETS
Section 6.1: Initial Capital
The initial capital of DBIS shall consist of:
- Contributions from founding members
- Assets transferred to DBIS
- Intellectual property and institutional knowledge
- Other assets as specified
Section 6.2: Reserve System
The GRU Reserve System shall be established with:
- Initial reserve assets
- Reserve management protocols
- Conversion and redemption procedures
- Reporting and audit requirements
Section 6.3: Intellectual Property
DBIS shall own and control:
- Institutional trademarks and symbols
- Technical specifications and protocols
- Documentation and publications
- Other intellectual property as created or acquired
ARTICLE VII: GOVERNANCE ACTIVATION
Section 7.1: Sovereign Control Council
The SCC shall be activated with:
- Initial membership as specified
- Adoption of rules of procedure
- Election or appointment of officers
- Establishment of committees and working groups
Section 7.2: Executive Directorate
The Executive Directorate shall be activated with:
- Appointment of executive officers
- Establishment of departments
- Adoption of operational procedures
- Implementation of management systems
Section 7.3: Institutional Tribunal
The Institutional Tribunal shall be activated with:
- Appointment of judges or arbitrators
- Adoption of rules of procedure
- Establishment of jurisdiction

ARTICLE VIII: NOTIFICATIONS AND REGISTRATIONS
Section 8.1: International Notifications
DBIS shall provide formal notification of its establishment to:
- United Nations and relevant international organizations
- Regional organizations
- Relevant treaty bodies
- Other entities as determined
Section 8.2: Domestic Registrations
Where required or appropriate, DBIS may:
- Register with relevant domestic authorities
- File necessary documents and notifications
- Obtain necessary licenses or authorizations
- Comply with applicable registration requirements
Section 8.3: Public Announcement
DBIS shall make appropriate public announcement of its establishment through:
- Official publication of this Instrument
- Release of public statements
- Publication of institutional information
- Other means as determined
ARTICLE IX: CONTINUITY AND SUCCESSION
Section 9.1: Perpetual Succession
DBIS shall have perpetual succession, meaning:
- It shall continue in existence regardless of changes in membership
- Its rights and obligations shall continue
- Its assets and liabilities shall be preserved
- Its legal personality shall be maintained
Section 9.2: Amendment and Modification
This Instrument may be amended or modified only by:
- Resolution of the Sovereign Control Council
- With approval of founding members
- In accordance with procedures established in the Articles of Governance
ARTICLE X: EXECUTION
Section 10.1: Signatures
This Instrument shall be executed by:
- All founding members
- In the presence of witnesses or notaries as required
- With appropriate authentication
- In multiple original copies
Section 10.2: Deposit
Original executed copies of this Instrument shall be:
- Deposited with DBIS archives
- Maintained as official records
- Made available for inspection as appropriate
- Preserved in perpetuity
Section 10.3: Entry into Force
This Instrument shall enter into force upon:
- Execution by all founding members
- Completion of initial organizational procedures
- Publication as specified
- Commencement of operations
